END-USER LICENSE AGREEMENT FACEFOOTBALL SOFTWARE FOR ANDROID & IOS

1. General

1.1 This End-User License Agreement ("EULA") is a legal agreement between you ("Licensee") and FACEFOOTBALL SL, Majada de los Morenos 158, 29580 Málaga, SPAIN ("FACEFOOTBALL SL") and governs the use of the FACEFOOTBALL mobile application ("FACEFOOTBALL App") by the Licensee.

1.2 The Licensee acknowledges and agrees to the terms of this EULA. If the Licensee does not agree to the terms of this EULA, they may not install or use the FACEFOOTBALL App.

2. License Grant

2.1 If the Licensee accepts and complies with the terms of the EULA, including, but not limited to, the payment of applicable license fees, FACEFOOTBALL grants a limited, personal, non exclusive, non-perpetual, and non-transferable license to install and use the application solely for the purpose of enabling the Licensee to access and use it internally.

3. Restrictions and Limitations

3.1 The Licensee is not authorized to copy, distribute, resell, make available to third parties, alter, modify, sublicense, rent, lease, or otherwise dispose of the FACEFOOTBALL App except as explicitly mentioned in this EULA.

3.2 The Licensee is not authorized to reverse engineer, disassemble, or decompile the FACEFOOTBALL App, nor to attempt to investigate, manipulate, or discover its source code, structure, or principles, except to the extent explicitly permitted by applicable law.

3.3 The Licensee may not use the FACEFOOTBALL App in any way that violates (i) third-party intellectual property rights and/or (ii) applicable laws.

4. FACEFOOTBALL’s Obligations

4.1 FACEFOOTBALL's only obligation under this EULA is to provide the FACEFOOTBALL App "as is."

4.2 FACEFOOTBALL assumes no obligation or responsibility regarding the provision of upgrades, new versions, patches, bug fixes, maintenance, support, telecommunication lines, internet subscriptions, or other aspects related to the use or inability to use the FACEFOOTBALL App. All responsibilities, costs, and risks in this regard belong to the Licensee or the corresponding third party.

4.3 Notwithstanding Section 4.1, FACEFOOTBALL may, at its sole discretion, offer the Licensee updates, new versions, patches, or similar improvements related to the FACEFOOTBALL App. After receiving notification from FACEFOOTBALL, the Licensee is required to implement and use such updates, new versions, patches, or similar improvements.

5. Intellectual Property

5.1 The FACEFOOTBALL App is protected by copyright laws, international copyright treaties, and other applicable intellectual property laws. FACEFOOTBALL and/or its suppliers are the sole owners and holders of all intellectual property rights related to the FACEFOOTBALL App, including, but not limited to, copyright, patent rights, trademark rights, and trade secrets. The Licensee is not authorized to change or remove any trademarks or copyright, patent, trademark, or other intellectual property notices contained in the FACEFOOTBALL App.

6. Data Protection

6.1 The Licensee, as the party responsible for downloading and using the FACEFOOTBALL App, must comply with data protection requirements, such as informing data subjects and/or drafting data processing agreements. Compliance with relevant data protection laws is the Licensee’s responsibility, whether as a data controller, data processor, or sub processor. In certain circumstances, FACEFOOTBALL may be the data controller or sub-processor. In such cases, FACEFOOTBALL will handle data processing with third parties to the extent required by applicable law.

7. Licensee Contributions

7.1 The Licensee may provide feedback to FACEFOOTBALL regarding their experience with the application, such as usability, bug reports, analytics results, errors, user applicability, ease of use, etc. ("Contributions").

7.2 The Licensee agrees that FACEFOOTBALL may improve, develop, modify, alter, disclose, reproduce, make available to third parties, license, sublicense, transfer, distribute, commercialize, sell, or otherwise exploit the Contributions for any purpose FACEFOOTBALL deems appropriate, free of charge and without restrictions, obligations, or conditions, whether in relation to a new commercial version of the FACEFOOTBALL App

or any other software, product, technology, or service provided to third parties now or in the future in connection with FACEFOOTBALL's business operations.

7.3 If the Licensee’s contribution includes material protected by intellectual property laws, the Licensee hereby transfers to FACEFOOTBALL, free of charge, irrevocably, perpetually, and worldwide, all intellectual property rights included in such contribution. FACEFOOTBALL is authorized to improve, develop, modify, alter, disclose, reproduce, make available, license, sublicense, transfer, distribute, market, sell, or otherwise exploit the contributions for any purposes FACEFOOTBALL deems appropriate, without limitation or obligation to pay royalties to the Licensee or to any third party, whether in connection with a new commercial version of the FACEFOOTBALL software or with any other software, product, technology, or service made available now or in the future in connection with FACEFOOTBALL's business operations.

8. Indemnification

8.1 The Licensee must promptly notify FACEFOOTBALL in writing upon becoming aware of (i) any breach or alleged breach of this agreement; (ii) any claim or alleged claim related to the violation of third-party intellectual property rights in connection with the Licensee’s use of the FACEFOOTBALL App; and/or (iii) any violation of applicable law regarding the Licensee’s use of the FACEFOOTBALL App.

8.2 The Licensee shall indemnify, defend, and hold harmless FACEFOOTBALL from and against any claims, damages, and liabilities arising from the circumstances set forth in Section 8.1, to the extent that such claims, damages, or liabilities result from (i) a breach of this EULA by the Licensee; (ii) any infringement of third-party intellectual property rights by the Licensee; and/or (iii) any violation of applicable laws by the Licensee.

9. Disclaimer of Warranties

9.1 The FACEFOOTBALL App is a standard software product provided by FACEFOOTBALL "as is," with all faults and defects. FACEFOOTBALL disclaims all statutory warranties, express or implied, to the fullest extent permitted by law.

10. Limitation of Liability

10.1 The liability of the parties shall be governed by the ordinary law of England, except for the exclusions and limitations explicitly stated in this EULA.

10.2 Notwithstanding the provisions of Section 10.1, FACEFOOTBALL shall not be liable to the Licensee or to any third parties for any direct, indirect, punitive, or other damages, including, without limitation, damages for loss of profits, business interruption, loss or restoration of data, product liability, or personal injury arising from the use or inability to use the FACEFOOTBALL application. The above exclusions and limitations shall apply regardless of whether such damages are caused by acts or omissions attributable to FACEFOOTBALL, including gross or simple negligence or unforeseeable events.

10.3 In addition to the exclusions and limitations of liability set forth in Section 9 and Section 10 of this EULA, FACEFOOTBALL’s total liability (regardless of the basis of liability) for paying damages, compensation, or any other amounts during the term of this EULA shall be limited to a total amount equal to 50% of the license fee.

10.4 The limitations and exclusions set forth in this Section 10 shall apply to the maximum extent permitted by law. End User License Agreement, FACEFOOTBALL application for Android & iOS.

11. Term and Termination

11.1 This EULA becomes effective upon the Licensee’s first installation of the FACEFOOTBALL App ("Effective Date").

11.2 This EULA remains effective for twelve (12) months from the Effective Date ("Initial Period"). If neither party terminates the agreement in accordance with Section 11, this EULA will automatically renew for consecutive twelve (12) month periods ("Renewal Period").

11.3 Either party may terminate this EULA by providing the other party with written notice at least three (3) months in advance, effective as of the expiration of the initial term or any renewal periods.

11.4 Upon termination of this EULA, regardless of the reason, the Licensee must immediately cease all use of the FACEFOOTBALL application. The Licensee acknowledges and agrees that FACEFOOTBALL may remove the Licensee as a user in the event of termination of the EULA for any reason.

12. Governing Law and Jurisdiction

12.1 FACEFOOTBALL SL may assign this EULA without the Licensee’s consent to (i) an affiliate of FACEFOOTBALL or (ii) a non-affiliated third party, provided that such assignment occurs in connection with a transaction, restructuring, divestiture, merger, acquisition, or similar event.

12.1 This EULA, its subject matter, and its formation (including non-contractual disputes or claims) shall be governed by the laws of England. The parties irrevocably agree to submit to the exclusive jurisdiction of the courts of England and Wales. Nevertheless, this choice of law and jurisdiction shall not apply in the case of preliminary remedies sought by FACEFOOTBALL to enforce its rights, including, but not limited to, the request for a preliminary injunction and/or the seizure of evidence.

SUPPLEMENTARY TERMS FOR iOS

13. Supplemental Terms for iOS in Connection with this EULA

13.1 The following terms supplement this EULA and apply specifically to licenses of the FACEFOOTBALL App for iOS. In case of conflict between the General Terms and these Supplementary Terms, the Supplementary Terms shall prevail for iOS licenses.

14. Contractual Relationship

14.1 Apple and the Licensee acknowledge that this EULA binds only FACEFOOTBALL and the Licensee, and that FACEFOOTBALL is solely responsible for the FACEFOOTBALL App and its content.

15. License Grant for iOS

15.1 The non-transferable license granted by FACEFOOTBALL to the Licensee under this EULA is limited to using the FACEFOOTBALL App on any Apple-branded product owned or controlled by the Licensee in accordance with Apple’s App Store Terms of Service.

16. Maintenance

16.1 FACEFOOTBALL SL and the Licensee acknowledge that FACEFOOTBALL SL, and not Apple, is solely responsible for the maintenance and support of the FACEFOOTBALL software (if any).

17. Warranties

17.1 FACEFOOTBALL SL is solely responsible for any warranties of the ePAL software that may be implied by law (if any), except for the disclaimer in Section 10.1.

17.2 If the FACEFOOTBALL application fails to comply with any applicable warranties implied by law, the Licensee may notify Apple. Apple will refund the purchase price of the FACEFOOTBALL application (if any) to the Licensee. Apple shall have no other warranty obligations with respect to the ePAL software to the extent permitted by law. FACEFOOTBALL SL is solely responsible for any failure to comply with warranties implied by law and for any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure, except as limited or disclaimed under this EULA to the extent permitted by applicable law.

18. Product Claims

18.1 FACEFOOTBALL SL and the Licensee acknowledge that FACEFOOTBALL SL, and not Apple, is responsible for addressing any claims by the Licensee or any third party relating to the FACEFOOTBALL application or the Licensee’s possession and/or use of the FACEFOOTBALL application, including, but not limited to: product liability claims; any claim that the ePAL software fails to conform to any applicable legal or regulatory requirement; and claims arising under consumer protection laws.

19. Intellectual Property
19.1 FACEFOOTBALL SL and the Licensee acknowledge that FACEFOOTBALL SL, and not Apple, is responsible for the investigation, defense, settlement, and discharge of any third-party intellectual property infringement claims related to the FACEFOOTBALL application or the Licensee’s possession and use of the FACEFOOTBALL application.

20. Compliance with U.S. Laws

20.1 The Licensee represents and warrants that they are not in a country subject to a U.S. government embargo, that they are not in a country designated by the U.S. government as a "terrorist-supporting" country, and that they are not listed on any U.S. government restricted party lists.

22. Third-Party Terms

22.1 The Licensee must comply with applicable third-party terms in connection with the use of the FACEFOOTBALL application, such as third-party data service agreements required for the proper functioning of the application.

23. Apple as a Third-Party Beneficiary

23.1 FACEFOOTBALL SL and the Licensee acknowledge and agree that Apple (including its affiliates) is a third-party beneficiary of this EULA, and that the Licensee’s acceptance of the EULA grants Apple the right to enforce the EULA against the Licensee as a third-party beneficiary.
